These terms apply to the use of this website and to all services offered by Umely B.V. By using our website or services you agree to these terms.

This is an English translation provided for convenience. The Dutch version is the legally binding text; in case of any difference in interpretation, the Dutch text prevails.

Article 1: About Umely

Umely B.V. is an AI consultancy and development agency based in Lelystad, the Netherlands. We help organisations design, build and implement AI solutions, automation and digital workflows. Alongside project-based development we also deliver keynotes, workshops and e-learning on applying AI in practice.

In doing so, Umely always acts as an independent consultant and developer. We do not carry responsibility for the systems we deliver; operational responsibility for management, compliance and use lies with the client, unless an ongoing management agreement has been concluded.

Article 2: Applicability

2.1 These general terms and conditions apply to all use of the website umely.ai and to all services, offers and communication from Umely, unless expressly agreed otherwise in writing.

2.2 By using this website or by contacting Umely about a possible collaboration, you accept these terms.

2.3 Specific assignments and agreements are additionally governed by Umely’s terms of service. In case of conflict, the provisions of the specific agreement prevail.

2.4 Umely reserves the right to amend these terms. The most current version is always available at umely.ai. In case of material changes, Umely informs active relations in advance.

2.5 If any provision of these terms is void or voidable, the remaining provisions remain in full force.

Article 3: Use of this website

3.1 You may use the website umely.ai for informational purposes. It is not permitted to use the website in a way that conflicts with the law, the rights of third parties or the reasonable interests of Umely.

3.2 It is not permitted to use automated means (scrapers, bots, crawlers) to collect content from the website without prior written permission from Umely.

3.3 Umely makes every effort to keep the website current and accurate, but gives no guarantees as to the completeness, accuracy or availability of the content. No rights can be derived from the information on the website.

3.4 The content of this website, including texts, images, examples and descriptions of working methods, is intended for information only and does not constitute legal, tax or technical advice.

Article 4: Our services

4.1 Umely offers the following categories of services: AI consultancy and strategic advice, custom development of AI applications and automation, AI keynotes and talks for organisations, and e-learning and training on AI in practice.

4.2 Umely works exclusively with business clients (B2B). Our services are not intended for consumers within the meaning of article 6:193a of the Dutch Civil Code.

4.3 All services are provided on a best-efforts basis, unless a specific result has expressly been agreed in a written agreement.

4.4 Where necessary, Umely engages specialised partners or independent developers. Responsibility for quality remains with Umely at all times.

4.5 Prices, rates and fees are agreed per assignment and always exclude VAT, unless expressly stated otherwise.

Article 5: Intellectual property

5.1 All intellectual property rights in the content of this website, including texts, images, design, logos, methodologies, prompts, models and other materials, belong to Umely or its licensors.

5.2 Nothing from this website may be reproduced, stored, published or otherwise disclosed or made available to third parties without prior written permission from Umely.

5.3 Limited right of quotation: reproducing short text fragments is permitted provided the source (Umely B.V., umely.ai) is clearly stated and the quotation does not harm the meaning or reputation of Umely.

5.4 Rights to tools, workflows, AI configurations, templates and other working methods developed by Umely remain the property of Umely, also after delivery to a client. The client acquires only the agreed right of use.

Article 6: Privacy and cookies

6.1 Umely processes personal data in accordance with the General Data Protection Regulation (GDPR). Umely’s full privacy policy can be consulted at umely.ai/privacy.

6.2 When you contact us via the contact form, email or another channel, we process your data solely to answer your question or to deliver the requested services.

6.3 The website uses functional and analytical cookies to measure and improve use of the website. For non-functional cookies we ask for your consent in advance.

6.4 For questions about privacy or to exercise your rights (access, correction, erasure) you can contact us at info@umely.ai.

Article 7: Liability

Umely’s position

Umely acts as an independent consultant and developer. We do not carry responsibility for the systems we design or implement. Operational responsibility for use, management and compliance with laws and regulations lies with the client.

7.1 Umely is in no way liable for damage relating to privacy, information security, GDPR compliance, data breaches, unauthorised access to systems or any other security or compliance incident, unless there is demonstrable intent or wilful recklessness on the part of Umely. In the absence of intent or wilful recklessness, Umely is fully indemnified and the risk and responsibility lie entirely with the client.

7.2 Umely is not liable for damage arising from the use of, or reliance on, information on this website, including defects in the availability, accuracy or completeness of the content.

7.3 Umely is not liable for indirect damage, consequential damage, lost profit, missed savings, reputational damage or damage due to business interruption, in any context whatsoever.

7.4 To the extent that Umely is liable for direct damage in the context of an assignment, that liability is limited to the amount paid by the client to Umely in the three months preceding the event causing the damage, with a maximum of EUR 10,000 per calendar year.

7.5 The client indemnifies Umely against all claims from third parties, supervisory authorities or data subjects relating to a privacy, security or compliance incident, unless there is demonstrable intent or wilful recklessness on the part of Umely.

7.6 Limitations of liability do not apply in case of intent or wilful recklessness on the part of Umely or its directors.

Article 8: AI and technology

8.1 In developing solutions, Umely uses AI models, language models and related technologies. We inform clients transparently about which technologies are deployed.

8.2 AI-generated output is inherently subject to uncertainty. Umely does not guarantee that AI output is at all times error-free, complete or current. It is the responsibility of the user or client to assess output before it is used in decision-making or production environments.

8.3 The use of external AI platforms, APIs and language models is subject to the terms of the relevant providers. Umely is not liable for outages, changes or discontinuation of services by these external parties.

8.4 To the extent that the EU AI Act (Regulation (EU) 2024/1689) imposes obligations on providers or users of AI systems, each party is itself responsible for complying with the obligations that apply to it.

Article 9: Availability and changes

9.1 Umely aims for uninterrupted availability of the website but gives no guarantees in this respect. Umely is not liable for damage resulting from (temporary) unavailability of the website.

9.2 Umely reserves the right to change or supplement the content of the website, the services offered and these general terms and conditions at any time, without prior notice.

9.3 Umely is entitled to take the website temporarily out of service for maintenance, updates or improvements.

Article 10: Hyperlinks and external content

10.1 The website may contain references (hyperlinks) to third-party websites. Umely has no control over the content or policies of these external websites and accepts no liability for them.

10.2 Including a hyperlink does not imply a recommendation of, or association with, the relevant external website or organisation.

10.3 Linking to the website umely.ai is permitted, provided this is done in a fair and non-misleading way and does not harm the reputation of Umely. Deep linking or framing without permission is not permitted.

Article 11: Complaints and contact

11.1 Questions or complaints about our services or these terms can be addressed to info@umely.ai. We aim to respond to complaints within 5 working days.

11.2 Complaints about an ongoing assignment must be submitted in writing and in concrete terms. Umely will handle the complaint seriously and consult on an appropriate solution.

11.3 If a complaint is not resolved satisfactorily, the parties may engage an independent mediator or submit the dispute to the competent court in accordance with article 12.

Article 12: Governing law and disputes

12.1 These general terms and conditions and all legal relationships with Umely are governed exclusively by Dutch law.

12.2 Disputes are resolved in the first instance by mutual consultation. If the parties fail to settle the dispute amicably, it is submitted to the competent court of the Midden-Nederland District Court.

12.3 Instead of court proceedings, the parties may opt for mediation or arbitration, provided this is agreed in writing.
